ONLINE TRAINING – TERMS AND CONDITIONS

1. About These Terms

1.1 These Terms and Conditions (“Terms”) apply to online training courses supplied by Bosio Consulting ES/UK Ltd (“Bosio”, “we”, “us” or “our”), whether delivered directly by Bosio or by a third-party supplier acting on our behalf.

1.2 These Terms apply to the person or organisation purchasing the training (“Customer” or “you”) and, where applicable, to any individual undertaking the training (“Learner”).

1.3 A Customer may be:

(a) a “Consumer”, being an individual purchasing training wholly or mainly for purposes outside their trade, business, craft or profession; or

(b) a “Business Customer”, being a company, organisation or individual purchasing training wholly or mainly for business or professional purposes.

1.4 By placing an order, accepting a quotation or training agreement, or otherwise purchasing a course from Bosio, you agree to be bound by these Terms.

1.5 Where a quotation, training agreement or other document issued by Bosio contains terms that expressly differ from these Terms, the expressly agreed terms in that document will take precedence to the extent of any inconsistency.

2. Course Delivery

2.1 Unless otherwise stated, online courses are delivered through Bosio’s Learning Management System (“LMS”) or another online learning platform nominated by Bosio.

2.2 Courses will be delivered in English unless otherwise expressly stated in the relevant course description, quotation or training agreement.

2.3 Access to an online course will normally be provided shortly after Bosio has received confirmed payment and cleared funds, unless alternative payment arrangements have been agreed in writing.

2.4 Although access is normally provided promptly, delays may occasionally occur for technical, administrative or other reasons.

3. Course Access

3.1 Unless otherwise stated or agreed in writing, access to an online course will remain available for a maximum of 60 calendar days from the date on which Bosio first makes the course available to the Learner.

3.2 Course access will automatically expire at the end of the applicable access period, regardless of whether the Learner has completed the course or assessment.

3.3 It is the Customer’s and Learner’s responsibility to ensure that sufficient time is allowed to complete the course and any required assessment before access expires.

3.4 Bosio may, at its discretion, agree to extend or renew course access. An additional fee may apply and will be notified before the extension or renewal is provided.

3.5 Where a material technical failure of Bosio’s LMS prevents a Learner from accessing a course for a significant period, Bosio may extend the access period by a reasonable amount of time.

4. Learner Accounts and Security

4.1 Course access is personal to the Learner for whom the course has been purchased or assigned.

4.2 Customers and Learners must not share usernames, passwords, login details or course access with any other person without Bosio’s prior written permission.

4.3 The Customer and Learner are responsible for keeping login credentials secure and must notify Bosio promptly if they believe an account has been accessed without authorisation.

4.4 Bosio may suspend or terminate access where it reasonably believes that an account is being shared, misused or accessed fraudulently.

5. Learner Conduct and Assessment Integrity

5.1 Learners must provide accurate information when registering for and completing training.

5.2 Unless Bosio expressly permits otherwise, all assessments and examinations must be completed personally by the registered Learner without unauthorised assistance.

5.3 Learners must not:

(a) impersonate another person or allow another person to undertake training or an assessment on their behalf;

(b) provide unauthorised assistance to another Learner;

(c) copy, record, photograph, reproduce or distribute examination or assessment questions;

(d) attempt to circumvent the security or assessment controls of the LMS; or

(e) otherwise act dishonestly in connection with training or assessment.

5.4 Where Bosio reasonably believes that fraud, impersonation, cheating or other serious assessment misconduct has occurred, Bosio may suspend course access, invalidate an assessment result, withhold a certificate or revoke a certificate already issued.

6. Assessments and Examination Attempts

6.1 Unless otherwise stated for a particular course, a Learner will be permitted up to three attempts to successfully complete the final examination or assessment for each course.

6.2 Any additional attempt is subject to Bosio’s approval and may be subject to an additional fee.

6.3 Where an additional fee applies, the Learner or Customer will be informed of the applicable charge before the additional attempt is provided.

6.4 Bosio may require a Learner to repeat relevant course material before being permitted an additional assessment attempt.

7. Certificates

7.1 Bosio will issue a PDF certificate to Learners who successfully complete all applicable course and assessment requirements.

7.2 Unless otherwise stated, certificates will be provided electronically.

7.3 A hard-copy certificate may be available upon request for an additional agreed charge.

7.4 The Learner and Customer are responsible for ensuring that the Learner’s name and other information supplied to Bosio are accurate. Bosio may charge a reasonable administrative fee for replacing certificates where incorrect information was supplied by the Customer or Learner.

8. Aviation Training and Regulatory Content

8.1 Bosio regularly reviews its aviation training courses with the aim of keeping course content aligned with applicable regulatory requirements and industry standards, which may include, where relevant, EASA, UK CAA, Part-145 AMC & GM, Part-147 and other applicable standards or guidance.

8.2 Aviation regulations, regulatory guidance, competent-authority interpretations and organisational requirements may change from time to time.

8.3 Unless Bosio expressly confirms otherwise in writing, reference within a course to a regulation, standard or regulatory requirement does not constitute a representation or guarantee that the course or certificate will satisfy every regulatory, approval, competency, recurrent-training, employer or organisational requirement applicable to a particular Learner or Customer.

8.4 It remains the responsibility of the Customer, Learner and/or their employer or organisation, as applicable, to establish before purchase whether a particular course, training programme or certificate is suitable for its intended purpose and will be accepted by the relevant competent authority, regulator, employer, approved organisation or other third party.

8.5 Bosio is not responsible for a third party’s decision not to recognise or accept a course or certificate, except to the extent that Bosio expressly represented in writing that the course or certificate would satisfy that specific requirement.

9. Course Content and Regulatory Updates

9.1 Bosio may update, amend or replace course materials from time to time in order to reflect changes in legislation, regulations or regulatory guidance; changes in industry standards or good practice; correct errors or clarify existing material; improve course quality or functionality; or make reasonable technical or operational changes.

9.2 Reasonable changes that do not materially reduce the overall nature or value of the purchased training will not entitle the Customer to a refund.

9.3 Completion of a course does not automatically entitle the Learner to access future versions or revisions of that course after the applicable access period has expired.

10. Intellectual Property

10.1 All intellectual property rights in Bosio’s courses and training materials, including videos, presentations, documents, graphics, assessments, examination questions, course structures and other content, belong to Bosio or its licensors.

10.2 Subject to payment of the applicable fees, Bosio grants the Learner a limited, personal, non-exclusive and non-transferable right to access and use the course materials solely for the purpose of undertaking the purchased training.

10.3 Unless expressly authorised in writing by Bosio, Customers and Learners must not copy, reproduce or republish course materials; record course videos, presentations or assessments; distribute or make course materials available to another person; upload course materials to another website, platform, file-sharing service or artificial intelligence service; sell, sublicense or commercially exploit course materials; or remove copyright notices or other proprietary markings.

10.4 Nothing in these Terms transfers ownership of any intellectual property rights to the Customer or Learner.

11. Prices and Payment

11.1 Course prices will be those stated on Bosio’s website, quotation, invoice or training agreement, as applicable.

11.2 Prices will be stated as inclusive or exclusive of VAT as applicable.

11.3 Unless Bosio has agreed alternative payment terms in writing, payment must be received in full before course access is provided.

11.4 Where a Business Customer purchases multiple licences or courses for Learners, those licences may only be allocated and used in accordance with the applicable quotation or training agreement.

12. Consumer Cancellation Rights

12.1 This clause applies where the Customer purchases a course as a Consumer.

12.2 Subject to the provisions concerning immediate supply of digital content below, a Consumer will normally have the statutory right to cancel a distance contract within 14 days of the contract being entered into.

12.3 Where a Consumer requests that Bosio provide immediate access to digital course content before the end of the statutory cancellation period, Bosio may require the Consumer to:

(a) expressly consent to the supply of the digital content beginning immediately; and

(b) acknowledge that, once supply of the digital content begins, the Consumer will lose their statutory right to cancel in relation to that digital content.

12.4 Where the required express consent and acknowledgement have been provided and Bosio has begun supplying the digital content, the Consumer will not have a statutory right to cancel that digital-content purchase merely because they subsequently decide not to complete the course.

12.5 Nothing in these Terms excludes or limits any statutory right or remedy available to a Consumer which cannot lawfully be excluded or limited.

13. Business Customer Cancellations and Unused Courses

13.1 Unless otherwise expressly agreed in writing, courses purchased by a Business Customer are non-refundable once course access has been supplied.

13.2 Courses and individual Learner licences are non-transferable once they have been activated or assigned to a Learner, unless Bosio agrees otherwise in writing.

13.3 Where a Business Customer wishes to cancel training before access has been provided, any refund or credit will be subject to the terms of the applicable quotation, training agreement or written agreement with Bosio.

13.4 Failure by a Learner to commence or complete training within the applicable access period does not entitle a Business Customer to a refund.

14. Technical Requirements and Availability

14.1 The Customer and Learner are responsible for ensuring that they have suitable equipment, software and internet connectivity to access the LMS and course materials.

14.2 Bosio does not guarantee uninterrupted or error-free access to the LMS. Temporary interruptions may occur due to maintenance, updates, third-party services or technical circumstances.

14.3 Bosio will use reasonable efforts to resolve material technical issues affecting access to its training services.

15. Liability

15.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

15.2 Training materials are provided for educational and professional-development purposes. Unless expressly agreed otherwise in writing, Bosio does not warrant that completion of a course will result in employment, promotion, regulatory approval, organisational approval or acceptance of a certificate by a particular third party.

15.3 Where the Customer is a Business Customer, Bosio will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of opportunity or loss of anticipated savings arising out of or in connection with the provision of training, to the extent permitted by law.

15.4 Subject to clause 15.1, Bosio’s total liability to a Business Customer arising from or in connection with a particular course will not exceed the total amount paid to Bosio for the course giving rise to the claim, unless otherwise expressly agreed in writing.

15.5 Nothing in this clause limits any rights or remedies available to Consumers which cannot lawfully be excluded or restricted.

16. Events Outside Bosio’s Reasonable Control

16.1 Bosio will not be responsible for delay or failure to perform its obligations where this results from circumstances outside its reasonable control.

16.2 Such circumstances may include failures of third-party hosting or communications services, internet outages, cyber incidents, natural disasters, industrial disputes, government or regulatory action, or other events that Bosio could not reasonably prevent.

16.3 Where such an event materially affects delivery of a course, Bosio will use reasonable efforts to restore access or provide an appropriate alternative.

17. Data Protection

17.1 Bosio will process personal data relating to Customers and Learners in accordance with applicable data-protection legislation and Bosio’s applicable privacy notice.

17.2 Personal data may be processed where reasonably necessary to administer training, maintain training and certification records, provide technical support, verify course completion and comply with applicable legal or regulatory requirements.

18. Complaints and Queries

18.1 If you have a question, complaint or concern relating to a course or these Terms, please contact Bosio’s training team.

18.2 Bosio will use reasonable efforts to investigate and respond to complaints within a reasonable period.

19. Changes to These Terms

19.1 Bosio may amend these Terms from time to time.

19.2 Unless required by law or regulation, changes will not retrospectively alter the contractual terms applicable to a course already purchased.

19.3 The version of these Terms in force at the time the relevant contract is entered into will normally apply to that purchase.

20. General

20.1 If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue in full force and effect.

20.2 A delay or failure by Bosio to enforce any provision of these Terms will not constitute a waiver of that provision or of Bosio’s right to enforce it subsequently.

20.3 The Customer may not assign or transfer its rights under these Terms without Bosio’s prior written consent, except where applicable law provides otherwise.

20.4 No person other than Bosio, the Customer and, where applicable, the Learner shall have any right to enforce these Terms, except where otherwise required by law.

21. Governing Law and Jurisdiction

21.1 Where the Customer is a Business Customer, these Terms and any dispute or claim arising from them shall be governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, unless otherwise agreed in writing.

21.2 Where the Customer is a Consumer, these Terms are governed by the laws of England and Wales, but nothing in this clause deprives the Consumer of any mandatory protections or rights concerning jurisdiction available under applicable law.
